1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Ryusume ("we," "us," or "our"), concerning your access to and use of the Ryusume website as well as any related applications or services (collectively, the "Service"). You agree that by accessing the Service, you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Description of Service

Ryusume provides an AI-powered service designed to automatically tailor and optimize resumes based on provided job descriptions. Key functionalities include, but are not limited to:

Processing resume content from PDF, Word, and LaTeX formats.
Analyzing job descriptions to identify key requirements.
Generating tailored resume content using Artificial Intelligence.
Preserving formatting for LaTeX inputs.
Applying tailored content to standard or user-provided templates (as per plan).
Outputting optimized resumes in PDF format.

The Service offers both a free tier with limitations and paid Premium subscription plans with expanded features.

3. Disclaimers and No Guarantees

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We make no warranties or representations about the accuracy or completeness of the Service's content or the content of any websites linked to the Service. Specifically, Ryusume does not guarantee:

Successful job placement, interviews, or any specific employment outcome.
That generated resumes will be 100% compatible with every Applicant Tracking System (ATS), as ATS systems vary widely.
Perfect preservation or recreation of complex visual formatting for non-LaTeX input documents (e.g., PDF, Word) when using custom template features.
The Service will be available uninterrupted, secure, or error-free at all times.

4. User Responsibilities

By using the Service, you represent and warrant that:

All registration information you submit will be true, accurate, current, and complete.
The content you provide in your resume is accurate and truthful to the best of your knowledge.
You will maintain the accuracy of such information and promptly update such registration information as necessary.
You have the legal capacity and you agree to comply with these Terms.
You will maintain the confidentiality of your account password and are responsible for all activities that occur under your account.
You will not access the Service through automated or non-human means, whether through a bot, script, or otherwise, except as may be the result of standard search engine or Internet browser usage.
You will use the Service only for lawful purposes and in accordance with these Terms.
You will not attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Service.
You will not upload or transmit viruses, Trojan horses, or other malicious material.

5. Content Rights and Ownership

You retain full ownership of and intellectual property rights in the resume content and job descriptions you provide to the Service ("User Content").

By submitting User Content, you grant Ryusume a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content solely in connection with providing and improving the Service. This license includes the right for us to:

Process, analyze, and modify your User Content using our AI algorithms.
Store your User Content to provide service features (like version history for Premium users) and for operational purposes as outlined in our Privacy Policy.
Generate tailored resume outputs based on your User Content.
Use anonymized and aggregated data derived from User Content for service analysis, improvement, and internal model training, ensuring no personally identifiable information is disclosed.

This license terminates when you delete your User Content or your account, except to the extent necessary for us to comply with legal obligations or maintain backup archives.

6. Service Usage, Tiers, and Limitations

The Service is offered in different tiers:

Free Tier users are subject to limitations, including:

A limited number of free resume tailoring credits (currently 5, subject to change).
Standard processing speed (compared to Premium priority).
While PDF and Word inputs are accepted, the tailored output for these formats will use our standard ATS-optimized template. Custom template structures from PDF/Word inputs are not preserved on the Free tier.
LaTeX inputs have their formatting preserved even on the Free tier.
Limited feature set compared to Premium (e.g., no history, no quick edit).

Premium Tier: Access to expanded features, higher usage limits (or unlimited credits), priority processing, and custom template support (as described on the Pricing Page) is available through paid subscriptions governed by the payment terms outlined below.

7. Payments, Subscriptions, Cancellation, and Refunds

Payments: Fees for Premium subscriptions are specified on the Pricing Page and must be paid in advance. Payments are processed securely through our third-party payment processors (e.g., Stripe, PayPal).

Subscriptions & Auto-Renewal: Premium subscriptions are typically billed on a recurring basis (e.g., monthly). Your subscription will automatically renew at the end of each billing cycle unless you cancel it prior to the renewal date.

Cancellation: You can cancel your Premium subscription at any time through your account settings within the Service. Cancellation will take effect at the end of your current paid billing period, and you will retain Premium access until then. No partial refunds are provided for cancellations made mid-cycle.

Refunds: Due to the computational costs associated with AI processing, payments for subscriptions are generally non-refundable once a billing period has begun or credits have been used. However, we may consider refunds on a case-by-case basis if the Service is proven to be technically deficient or unusable due to issues on our end. Please refer to our FAQ or contact support for inquiries.

Price Changes: We reserve the right to change subscription fees. We will provide you with reasonable prior notice of any price changes. Your continued use of the Service after a price change constitutes your agreement to pay the modified fee.

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information and User Content in connection with the Service is described in our Privacy Policy. By using the Service, you agree to the terms of our Privacy Policy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Ryusume, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES (INCLUDING THE FOUNDER), BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED CANADIAN DOLLARS (CAD $100) OR THE AMOUNTS PAID BY YOU TO Ryusume FOR THE PAST SIX MONTHS OF THE SERVICE IN QUESTION.

10. Indemnification

You agree to defend, indemnify, and hold harmless Ryusume and its licensee and licensors, and their employees, contractors, agents, officers, and directors (including the founder), from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) User Content submitted on the Service.

11. Modifications to Service or Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, typically via email or a notice within the Service. What constitutes a material change will be determined at our sole discretion.

We also reserve the right to modify, suspend, or discontinue the Service (or any part or content thereof) at any time with or without notice, for example, for maintenance, improvement, or unforeseen circumstances.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

12. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If we terminate or suspend your account for cause, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14. Dispute Resolution

Informal Negotiations: To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us, the parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration or court action. Such informal negotiations commence upon written notice from one party to the other.

Litigation: If informal negotiations are unsuccessful, any Dispute arising out of or relating to these Terms shall be exclusively resolved in the courts located within the Province of Ontario, Canada. The parties hereby consent to the exclusive jurisdiction of such courts.
